IR35 Invoice Generator is an online IR35 invoice generation tool designed for UK contractors and freelancers. The service allows users to create, format, preview, copy, and export invoices using templates intended to support common UK invoicing fields, including VAT-related fields where applicable.
Features may vary by subscription tier. We may update, modify, or discontinue features from time to time to improve the service, fix bugs, or comply with legal or regulatory requirements. We will use reasonable efforts to notify subscribers of material changes that adversely affect paid features.
The core tool may be offered with free or limited functionality; enhanced capabilities are available through paid subscription plans described in Section 6 below.
2. Acceptance of Terms
By visiting our website, creating an account (where applicable), subscribing to a paid plan, or using any part of the service, you confirm that:
- You are at least 18 years of age and have the legal capacity to enter into a binding contract;

You are solely responsible for verifying that your invoices and business practices comply with applicable UK law, including tax, VAT, and employment legislation. Always consult a qualified accountant or legal adviser for advice specific to your circumstances.
4. IR35 Status Determination
Determination of your IR35 status is your own responsibility. IR35 (off-payroll working) rules involve complex assessments of employment status, contractual terms, and working practices. Our tool helps you produce invoice documents; it does not assess, determine, or advise on whether you are inside or outside IR35.
We make no representation that use of this service will result in any particular tax or employment status outcome. You must seek independent professional advice before making decisions that affect your tax liabilities, National Insurance contributions, or contractual relationships with clients or agencies.
5. Acceptable Use Policy
You agree to use the service only for lawful purposes and in accordance with these Terms. You must not:
- Use the service to create fraudulent, misleading, or unlawful invoices or documents;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Attempt to gain unauthorised access to our systems, other users’ accounts, or third-party systems;
- Transmit viruses, malware, or other harmful code, or engage in denial-of-service or similar attacks;
- Scrape, crawl, or harvest data from the service except as expressly permitted by us in writing;
- Reverse engineer, decompile, or disassemble any part of the service except where permitted by applicable law;
- Resell, sublicense, or redistribute the service without our prior written consent;
- Use the service in any way that infringes intellectual property or privacy rights of others.
We may suspend or terminate access immediately if we reasonably believe you have breached this Acceptable Use Policy or applicable law.
6. Subscription and Payments
Paid access is offered through monthly subscription tiers. Prices are quoted in GBP and billed monthly unless otherwise stated at checkout. All tiers may be cancelled at any time, subject to the terms of your payment provider.

By subscribing, you authorise us (or our payment processor) to charge your chosen payment method on a recurring monthly basis until you cancel. Fees are non-refundable except where required by UK consumer law or expressly stated in a promotion.
We may change subscription prices with at least 30 days’ notice to existing subscribers. Continued use after the effective date constitutes acceptance of new pricing, or you may cancel before the change takes effect.
Free trials or promotional offers, if offered, are subject to additional terms disclosed at sign-up. Failure to cancel before a trial ends may result in automatic conversion to a paid subscription.
7. Limitation of Liability
To the fullest extent permitted by applicable law:
- The service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
- We do not warrant that the service will be uninterrupted, error-free, secure, or free from loss of data.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, arising from your use of or inability to use the service.
- Our total aggregate liability to you for all claims arising under or related to these Terms shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) £100.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under the laws of England and Wales. If you are a consumer, you retain all statutory rights that cannot be waived by contract.
8. Intellectual Property
All content, software, design, logos, trademarks, and materials on the service (excluding content you submit) are owned by or licensed to IR35 Invoice Generator and are protected by UK and international intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the service for your personal or internal business purposes in accordance with these Terms. This licence does not permit you to copy, modify, distribute, or create derivative works from our proprietary materials except as necessary for normal use of the service.
You retain ownership of invoice content and data you enter. By using the service, you grant us a limited licence to process that content solely to provide and improve the service. We do not claim ownership of your client names, amounts, or other business data entered into invoices.
9. Termination
By you: You may stop using the service at any time. Paid subscribers may cancel their subscription through their account settings or by contacting support@ir35invoicegenerator.co.uk. Cancellation takes effect at the end of the current billing period unless otherwise stated.
By us: We may suspend or terminate your access immediately, without prior notice, if you breach these Terms, fail to pay applicable fees, or if we are required to do so by law. We may also discontinue the service or any part of it with reasonable notice where practicable.
Upon termination, your right to use the service ceases immediately. Sections that by their nature should survive (including disclaimers, limitation of liability, intellectual property, and governing law) will continue to apply.
10. Governing Law
These Terms and any dispute or claim arising out of or in connection with them or the service shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute, subject to your mandatory rights as a consumer to bring proceedings in your country of residence where applicable under UK consumer protection law.
We may revise these Terms from time to time. The “Last updated” date at the top of this page indicates when changes were last made. Material changes will be communicated where reasonably practicable.
